Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Nexora Intel platform (the "Service") provided by Nexora Technologies ("Nexora", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Nexora Intel is a campaign-management and SEO tool that enables digital marketing agencies and consultants to manage Google Ads accounts and perform search-optimization tasks for accounts they are authorized to manage. The Service interacts with the Google Ads API and other third-party services on your behalf. Access requires an active subscription, which we activate after sign-up.

2. Accounts & eligibility

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • You represent that you have the necessary authorization from any client whose Google Ads account you connect and manage through the Service.

3. Your responsibilities & acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or the Google Ads API Terms of Service or policies.
  • Access accounts or data you are not authorized to access.
  • Attempt to disrupt, reverse engineer, or gain unauthorized access to the Service or its infrastructure.
  • Use the Service to send spam, malware, or otherwise abusive content.

You acknowledge that the Service can make changes to connected advertising accounts (such as adjusting budgets, bids, keywords, and campaign status). Changes are applied at the operator's direction and approval, and you are responsible for reviewing and approving changes before they are applied.

4. Data protection

For personal data relating to your clients and the accounts you manage, you are the data controller and Nexora acts as a processor that processes that data only on your instructions, as described in our Privacy Policy. You are responsible for having a lawful basis and any necessary consents for the data you bring into the Service.

5. Fees & charges

Access to the Service may require a paid subscription. Fees, billing cycles, and any applicable taxes will be communicated to you before you are charged. Except where required by law, fees are non-refundable. You are separately responsible for any costs you incur with third parties, including your advertising spend and your own AI provider usage.

Bring your own key (BYOK). AI features run on API keys you obtain from and register with AI providers of your choice (for example Google Gemini, Anthropic Claude, OpenAI, or Perplexity). Usage of those keys is billed to you directly by the provider under the provider's own pricing and terms, and is an ongoing running expense separate from your subscription. We add no surcharge, margin, or markup on AI model usage and we are not responsible for the providers' fees, quotas, availability, or terms.

6. Suspension & termination

You may stop using the Service at any time and disconnect connected accounts. We may suspend or terminate access if you violate these Terms, fail to pay applicable fees, or where necessary to protect the Service and its users. On termination, your right to use the Service ends and we will handle your data as described in the Privacy Policy.

7. Indemnity

You agree to indemnify and hold Nexora harmless from claims, damages, and expenses arising out of your use of the Service, your content or instructions, your management of third-party accounts, or your violation of these Terms or applicable law.

8. Disclaimers & liability

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that advertising results will meet your expectations. The Service relies on third-party platforms, including Google, and we are not responsible for their availability, accuracy, or actions. To the maximum extent permitted by law, Nexora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or advertising spend, arising out of or related to your use of the Service.

9. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

10. Governing law & disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The courts of Kolkata, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.

By using the Service you confirm that you have read and accepted these Terms and the Privacy Policy, and that you use the Service and apply any changes to connected accounts at your own risk and professional judgment.
